Flyne AI Affiliate Agreement

This Affiliate Agreement (the "Agreement") governs participation in the Flyne AI Affiliate Program (the "Program"), which allows eligible partners to refer customers to Flyne AI image and video generation services. This Agreement is between Hey Dream Tech Limited, the operator of flyne.ai ("Flyne AI," "we," "us," or "our"), and each participant accepted into the Program ("Affiliate," "you," or "your").

1. Acceptance of This Agreement

By creating an affiliate profile, accepting this Agreement, accessing the affiliate workspace, or otherwise participating in the Program, you confirm that you have read, understood, and agreed to this Agreement. If you do not agree, you must not participate in the Program.

2. Program Participation

The Program uses your existing Flyne AI account. Your participation is subject to the following requirements:

You must keep your Flyne AI account, affiliate profile, contact details, and payout information accurate and current.
You must have the legal capacity and authority to accept this Agreement for yourself or the entity you represent.
You are responsible for activity conducted through your Flyne AI account, affiliate profile, and referral links.
Flyne AI may accept, reject, review, suspend, or disable participation when reasonably necessary to operate, secure, or protect the Program.

3. Referral Links and Attribution

Affiliates with active Program access may create referral links containing a unique via keyword. A customer is attributed to you only when the customer registers through a valid referral link and Flyne AI records the attribution.

The 60-day referral attribution window begins when the referred customer registers.
Only eligible orders placed by that attributed customer during the 60-day window may earn commission.
Flyne AI platform records determine referral attribution, order eligibility, and commission status. Contact us if you believe a record is incorrect.
A custom commission rate, attribution arrangement, or partner strategy applies only when Flyne AI approves it and only to the scope stated in that arrangement.

4. Commissions

Flyne AI calculates affiliate commission from valid paid orders recorded by the platform:

A referred customer's first valid paid order earns a 20% commission.
Following valid paid orders from the same customer earn a 10% commission when placed within 60 days after registration.
Only eligible orders earn commission. Section 6 explains how refunds, reversals, chargebacks, fraud, self-referrals, and other invalid activity affect commission.
The commission rate and eligible order details shown in the Program, or in an approved custom partner arrangement, remain subject to review under this Agreement.

5. Payouts

Commission becomes available for payout only after the related orders complete the applicable refund, chargeback, risk, and policy review.

Your approved, available commission balance must reach at least USD $100 before you can request a payout.
Payout requests are submitted through the affiliate workspace and remain subject to final review.
You may use a payout method currently supported in the affiliate workspace. Supported methods may change, and you are responsible for keeping your payout details accurate.
Flyne AI reviews payout requests within 3 business days after submission. Payment processing may take additional time after approval, depending on the selected payout method.
You are responsible for taxes, reporting obligations, currency conversion costs, and third-party fees applicable to your payouts.

6. Refunds, Reversals, and Chargebacks

Flyne AI reviews commission before payout, but an order may still be reversed or found ineligible after commission has been approved or paid.

Commission associated with a refund, cancellation, chargeback, payment reversal, risk block, fraud, self-referral, duplicate or artificial order, or material violation may be rejected or reversed.
If the affected commission has already been paid, Flyne AI may deduct that amount from future commission.
Flyne AI may request repayment when paid commission resulted from fraud or material abuse.

7. Advertising and Promotion

You may promote Flyne AI's image and video generation tools through accurate, lawful, and useful content, including websites, tutorials, reviews, videos, newsletters, communities, and social media.

Compliant paid advertising may promote your own original content or landing pages.
You may not bid on protected Flyne AI brand terms, impersonate Flyne AI, use misleading advertising, or use a flyne.ai domain as the direct destination for paid ads.
Coupon sites, rebate or cashback platforms, incentivized traffic, rewards-based promotions, and similar methods require Flyne AI's prior written approval.
You must keep product, feature, pricing, commission, and promotional claims accurate and reasonably up to date.

8. Prohibited Activities

The following activities are prohibited and may result in rejected commissions, suspension, or termination:

Spam, unsolicited bulk messaging, deceptive redirects, forced clicks, false urgency, or misleading product, pricing, discount, or earnings claims.
Self-purchases, referrals involving accounts you control, fake accounts, scripted registrations, artificial orders, duplicate transactions, or other attempts to manipulate attribution or commissions.
Cookie stuffing, click injection, hidden links, bots, automated traffic, or any method that records attribution without a genuine user choice.
Creating domains, social accounts, advertisements, pages, or materials that impersonate Flyne AI or create confusion about an official relationship.
Using Flyne AI intellectual property without permission or modifying approved assets in a misleading, unlawful, or harmful manner.
Promoting Flyne AI through illegal, infringing, hateful, abusive, fraudulent, or otherwise harmful content or activity.

9. Affiliate Disclosure and Legal Compliance

You must clearly disclose your affiliate relationship wherever required so your audience understands that you may receive commission. You must follow all advertising, endorsement, consumer protection, privacy, anti-spam, and platform rules applicable to your promotional activity, including using disclosures appropriate for your audience and language.

10. Brand and Intellectual Property

Flyne AI grants you limited, non-exclusive, non-transferable, revocable permission to use approved Flyne AI names, links, logos, and promotional materials solely for the Program. You do not acquire ownership of Flyne AI intellectual property and must stop using or update materials when requested.

11. Review and Enforcement

Flyne AI may review affiliate accounts, referral sources, promotional methods, attributed customers, orders, and commission to investigate errors, fraud, abuse, or policy violations. Flyne AI may hold affected commissions or payouts while completing a reasonable review. You may contact us to request clarification or review of a decision.

12. Independent Relationship and Taxes

You participate as an independent Affiliate. This Agreement does not create employment, agency, partnership, joint venture, franchise, or an exclusive relationship. You may not make commitments on behalf of Flyne AI and remain responsible for your business expenses, taxes, registrations, and legal obligations.

13. No Earnings Guarantee and Limitation of Liability

Flyne AI does not guarantee traffic, referrals, conversions, commission, payout timing, or any minimum earnings. The Program is provided on an as-is and as-available basis. To the maximum extent permitted by law, Flyne AI is not liable for indirect, incidental, special, consequential, or punitive damages arising from participation in or inability to use the Program.

14. Suspension and Termination

Your participation continues until terminated by you or Flyne AI.

You may request termination of your participation by emailing [email protected].
Flyne AI may suspend or terminate participation because of a violation, suspected abuse, legal or security risk, harm to Flyne AI or its users, or discontinuation of the Program.
After termination, future commission stops accruing. Outstanding commission remains subject to this Agreement and the current payout rules; commission connected to a violation may be withheld, reversed, or forfeited.

15. Changes to the Program or This Agreement

Flyne AI may update the Program, commission rules, payout rules, or this Agreement by posting revised terms with an updated date. Changes apply from their stated effective date. Continued participation after an update constitutes acceptance of the revised terms.

16. Applicable Laws

This Agreement and the Program are subject to applicable laws and regulations. You are responsible for complying with the advertising, privacy, consumer protection, tax, and platform requirements that apply to your activities and location.

17. Related Terms

This Agreement supplements the Flyne AI Terms and Conditions and Privacy Policy. If a Program-specific provision conflicts with a general provision, this Agreement controls only for participation in the Program.
